1. Agreement Overview:
These terms and conditions govern the relationship between Clubtimes (hereafter "Service Provider") and the client (hereafter "Member").
The Service Provider agrees to offer concierge services as detailed in this document and subject to the rules, limitations, and fees specified.
2. Services Provided:
Clubtimes services include, but are not limited to, travel arrangements, event planning, personal shopping, wellness services, restaurant reservations, home management, and access to exclusive experiences.
The specific services provided will be outlined in a separate service agreement or based on the membership package chosen.
3. Membership and Eligibility:
Membership is subject to approval, and access to services is restricted to the Member and their authorized family or guests, as applicable.
The Member must remain in good standing to maintain access to services.
The Service Provider reserves the right to deny or revoke membership at its discretion.
4. Service Fees and Payment:
The Member agrees to pay the agreed-upon membership fee, service fees, and any additional costs for services provided. Fees will vary depending on the scope of services requested.
Payment terms will be outlined, and any required upfront payments, deposits, or retainer fees must be settled before services are provided.
Invoices will be sent for any charges incurred outside of the agreed membership fees and must be paid in accordance with the specified due dates.
5. Service Availability and Hours:
The Service Provider will provide services within the agreed hours (e.g., 9 AM to 6 PM, Monday to Friday) unless otherwise specified.
For emergency services or requests outside of standard hours, additional charges may apply.
The Service Provider makes no guarantees regarding the availability of certain services or fulfillment of requests outside of reasonable expectations.
6. Confidentiality and Privacy:
The Service Provider will handle all personal and confidential information provided by the Member in accordance with applicable privacy laws and best practices.
The Member agrees not to disclose sensitive or confidential information regarding the Service Provider’s operations or third-party partners.
7. Cancellations and Changes:
Cancellations or changes to services must be made within a specified period (e.g., 24 or 48 hours) before the service is scheduled, or fees may apply.
The Member acknowledges that some services, such as travel bookings or event reservations, may be subject to third-party cancellation policies.
8. Third-Party Services and Liability:
The Service Provider may arrange third-party services (e.g., travel agents, restaurants, event organizers). The Service Provider is not liable for the actions, omissions, or failures of these third parties.
The Member is responsible for any agreements, terms, and conditions set by third-party service providers, and the Service Provider will not be held liable for any disputes.
9. Limitation of Liability:
The Service Provider will not be liable for any indirect, incidental, special, or consequential damages arising from the use of services.
The Service Provider’s total liability for any claims will be limited to the amount paid by the Member for services rendered during the 12 months preceding the claim.
10. Force Majeure:
The Service Provider will not be held responsible for any delays, failures, or cancellations caused by circumstances beyond their control, including natural disasters, strikes, acts of terrorism, or other unforeseen events.
11. Indemnification:
The Member agrees to indemnify and hold harmless the Service Provider from any claims, damages, losses, and expenses arising from the Member’s use of the services, including any violation of these terms.
12. Termination of Services:
Either party may terminate the agreement with written notice if the other party breaches any terms outlined in this agreement.
Upon termination, the Member will be responsible for any outstanding fees for services rendered up to the point of termination.
13. Governing Law:
These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service Provider operates.
14. Dispute Resolution:
Any disputes arising from the use of services will be resolved through mediation or arbitration, as determined by the Service Provider.
15. Amendments and Updates:
The Service Provider reserves the right to modify or update these terms and conditions at any time. The Member will be notified of any material changes.
16. Acknowledgment:
By accepting membership or utilizing services, the Member acknowledges and agrees to these terms and conditions in full.
